Mr. Yuan Shu Pu, President
Mr. Yuan was appointed as the President of the Company in March 2006. Mr. Yuan has a Bachelor Degree of Technology with a major in Civil Engineering (Irrigation and Drainage) from the Northern China Hydraulic and Hydro-power Engineering College. He has served as a Supervision Engineer in Zhejiang Province Hydraulic and Hydropower Engineering Construction Supervision Company since 2000. Mr. Yuan is also a director of the Construction Material Laboratory; education and researching office of Construction and Construction Materials, of the Civil Engineering Department, and a Secretary of Chinese Communist Party. He has more than 20 years experience in water-related business management.

Mr. Yao Zhen Xian, Chief Financial Officer
Mr. Yao was appointed the CFO of the Company in March 2006. Mr. Yao is also a professor level senior engineer who graduated from the Beijing Institute of Water Conservancy and Hydro electronic Power in 1968. He has also received a Master of Science degree from the Hebrew University Jerusalem Israel in 1987. Mr. Yao's former roles include serving as the Commander-in-Chief of the Commander Office of The Three Gorges - Kuqu drip irrigation construction work and as the Deputy Chief Engineer of China Irrigation and Drainage Technology Development Company. Mr. Yao has more than 30 years experience in water conservation and irrigation technology in China.

Ms. Liu Gui Mei, Independent Director
Ms. Liu has a Bachelor Degree of Civil and Water Conservancy Engineering from the University of Water Conservancy in Cang Zhou. She is also working as a Dean of Water Conservancy Faculty of North China University of Water Conservancy and Electric Power. Ms. Liu worked as a scientific research secretary, director in department of confidential documents in North China University of Water Conservancy and Electric Power since 1983. She has more than 25 years experience in water related businesses.

Board of Directors

The Company's Board of Directors currently consists of the Company's officers Mr. Yuan Shu Pu, Mr. Yao Zhen Xian and Ms. Liu Gui Mei. Investors who participate in the current round of financing will be given an opportunity to nominate and elect up to three additional independent directors.

To ensure excellent corporate governance, the Company intends to put in place an annual review process for the Board of Directors, which will be regulated through Board terms of one year and an annual shareholders vote to determine NCVL's Board members. This will also ensure that the decision process within the Company is based entirely on shareholder interest that is conducive to developing the Company, and that the right people and experts are in place to assist NCVL in developing and implementing its business plans. Consultant Biographies

CGW has compiled an impressive group of consultancies that are both Chinese water experts and internationally renowned experts in water management and government relations. Company management believes that these individuals will allow CGW to grow substantially over the next few years and intends to fully leverage the competencies of each consultant in building the Water Equity Division.

Dr. Joseph Shalhevet:
Dr. Joseph Shalhevet, an internationally renowned expert, has been the director of the Israel Water and Soil Resources International Training Centre, the Chief Scientist of the Israel Agricultural Land Resources Department, the President of the Academy of Scientific Research on Water and Soil, and a professor of Hebrew University. He has contributed to research in deserts treatment and saline land improvement. He was formerly the Chief Officer of the Israel Humanity and Technology Liaison Office in China before China and Israel established their diplomatic relation. Since joining CGW, he has made great contribution towards the policy making and establishment of the China Water Conservation Model for Social and Regional Large Scale Water Resources Projects.

Mr. Zhang Dechao:
Mr. Zhang Dechao, a member of the Chinese Academy of Engineering and an expert of agricultural engineering and machinery, received his Master of Science degree at the University of Minnesota. He has served as an engineer of the Ministry of Agriculture of the People's Republic of China and the Deputy Chairman of both the China Society for Agricultural Machinery and the China Society for Agricultural Engineering. Mr. Zhang has long been engaged in the education and research of agricultural machinery based theories. He is the pioneer in establishing the Dynamic Shear Formula and the Cutting Dynamic Model. Based on the findings, Mr. Zhang has published on the mechanical soil dynamic studies, providing the foundation for the enhancement of Soil Mechanical Excavation Improvement Extensive Area technology. He has also developed the Modern Technology of Effective Environmental Irrigation Technique for Water Conservancy in the Cultivated Land currently in use. Mr. Zhang has been honoured with the National Basic Theory Award by the State Educational Committee, the National Excellent Technological Writing Awards and the Outstanding Contribution Alumni of the University of Minnesota.

Mr. Huang Daoxia:
Mr. Huang Daoxia, a fellow researcher of the agricultural issue in the Development Research Center of State Council, has been involved in the policy making of rural China's collective production and contract responsibility system and twice led material reforms of the emerging villages and town enterprises. He is one of the pioneers who supported utilizing comparative advantage and promotion of village characteristics that makes prominent contribution in China agriculture, rural economy and community development.

Mr. Feng Guangzhi:
Mr. Feng Guangzhi, a professor-grade senior engineer, is a part time professor at the China Agricultural University and Henan University. Mr. Feng is also the chairman of both the China Irrigation Districts' Association and the China Agricultural Water Conservation Technology Association. He had served as the Secretary-General of the China Hydraulic Engineering Society and the Village Irrigation Minister of the Ministry of Water Resources. Mr. Feng has published over 50 research essays such as "Chinese Water Demand and Supply" and "China Agricultural Water Conservation Strategies". He is an expert in the research of China agricultural water conservation and irrigation policies.

Mr. Liu Peibing:
Mr. Liu Peibing, a Water-Soil Engineering Doctor of the Wuhan University of Hydraulic and Electrical Engineering, is now the deputy engineer of the Beijing Water Authority. He has published various articles on the exploitation and protection of Beijing's water resources and irrigation technology science techniques development, the increase of the Beijing water resources utilization efficiency, the formulation of Beijing major irrigation project plan and the establishment of the integrated ecology and environmental scientific management system. Mr. Liu has enjoyed success in the research of the crops' water demand characteristics under polluted water irrigation as well as the research of the effects of polluted water irrigation over soil conditions and the growth of crops.

Mr. Qiu Weiduo:
Mr. Qiu Weiduo, an agricultural water resources expert with exceptional contribution, has been the president of the Beijing Water Resources Effective Utilization Research Center. Dr. Zuo Tiandue, an American Chinese and an international well-known agricultural, is currently the president of the US International Agricultural Life Science Institute, a senior consultant of the China Tobacco Corporation and an honourable researcher at the Chinese Academy of Agricultural Sciences. Dr. Zuo has been granted the Outstanding Contribution Award by the International Tobacco Sciences Association and the US President Award.

Mr. Hui Shibo:
Mr. Hui Shibo, a professor and postgraduate tutor of the Tsinghua University, has been one of the members of the "Eleventh Five" Project.
